National Legal Consultant (SSAs)

Background:
 

In 2025, Tajikistan adopted a new Law on Investments and Encouragement of Investment Activities. The law establishes the legal, institutional, and economic foundations of state policy in the field of investment promotion by ensuring the protection of investments and creating favourable conditions for entrepreneurial activities across the country. Pursuant to Resolution of the Government of the Republic of Tajikistan No. 558 dated 31 October 2025, the SCISPM is designated as the authorized state authority responsible for the implementation of the Law. Paragraph 9, Article 14 provides for the development of the Rules governing the signing and implementation of an investment agreement, which shall be approved by a separate Resolution of the Government of the Republic of Tajikistan. In order to further improve the regulatory and legal framework governing investment activities and to enhance the transparency and predictability of procedures favouring the conclusion of the investment agreements between the Republic of Tajikistan and/or domestic foreign investors, the SCISPM has requested support from POiD in drafting the required bylaw. The bylaw will contribute to transparency and accountability of the parties in the implementation of investment projects and establish a stable and predictable regulatory and legal framework for investments. Moreover, a bylaw would further enable the harmonization of the national practice with international standards (OECD, UNCTAD, IFC).

Objective of Assignment: 
 

National legal consultant on development of a bylaw on the rules for the preparation, execution of investment agreements, in close co-operation with the relevant department(s) of the SCISPM will be responsible for drafting the bylaw. The assignment will include 90 working days throughout four months. 

Duration of Assignment:
 

90 days, in the period from August to November 

Tasks and Responsibilities:
 

Under the overall supervision of the Economic Officer, the successful candidate will be tasked with the following duties:

1. Developing a workplan and methodology for the implementation of the assignment;
2. Getting familiarised with the current legal background of the investment policy in the Republic of Tajikistan along with the strategies by arranging meetings with the SCISPM and its subordinate state institutions to co-ordinate her/his further actions;
3. Under the co-ordination of the assigned department of the SCISPM assessing the legal status of the current investment agreements and omissions hurdling their proper and timely execution;
4. Developing list of proposed mechanism for monitoring and control over the implementation of investment agreements;
5. Proposing tools for harmonization of national practices with international standards (OECD, UNCTAD, IFC);
6. Suggesting the necessary mechanisms on ensuring the co-ordination of actions of government bodies, as well as regulating the powers of government bodies;
7. Proposing formalization procedures for reviewing investor proposals and defining requirements for the content of investment agreements;
8. Suggesting mechanisms on improvement of the government control procedures and introducing risk-oriented approaches;
9. Developing mechanisms on increasing the transparency of public administration and public procurement processes while executing an investment agreement;
10. Preparing draft of the bylaw and present to SCICPM and POiD for review;
11. Revising the draft based on comment received from SCISPM, POiD and other stakeholders;
12. Finalizing the bylaw and supporting documents.

Necessary Qualifications:

• University degree in law, economics, business administration, commerce, finance or in another related field;
• Minimum 5 years of proven professional experience in the field of legal advisory, investment, trade, finance and commerce and/or export;
• Professional experience of working with legal authorities or inter-governmental trade organizations, business associations/committees;
• Proven expertise in drafting legal documents supporting the implementation of strategic action plans and task force activities; 
• Knowledge of methods on assessing the risks supplemented in implementation of investment agreements;
• Professional fluency in Tajik and Russian, knowledge of English, both spoken and written would consider as an advantage;
• Demonstrated gender awareness and sensitivity, and an ability to integrate a gender perspective into tasks and activities;

• Ability and willingness to work as a member of team, with people of different cultural, and religious backgrounds, different gender, and diverse political views, while maintaining impartiality and objectivity;

• Computer literate with practical experience using Microsoft applications.

Remuneration Package:

Remuneration will be based on the selected consultant's/expert's qualifications, experience, the tasks and deliverables for this position and in accordance with the OSCE established rates.
